MetaSculpt AI - Software & Services Subscription Agreement

This Agreement is between MetaSculpt AI ("we," "our," or "Licensor") and the customer using our services ("you," "your," or "Licensee"). By creating an account or using MetaSculpt AI, you agree to these terms.

1. What This Agreement Covers

This Agreement applies to your use of the MetaSculpt AI platform, our cloud-based service for prompt tracking, citation analysis, website crawling, competitive analysis, reporting, and related tools ("Software" or "Service"). This is a subscription-based SaaS platform. You're not downloading software; you're accessing a hosted service.

2. What You're Allowed To Do

We give you a non-exclusive, non-transferable license to use MetaSculpt AI according to your subscription tier.

You can:

• Track prompts, citations, and AI-engine results
• Crawl your own websites
• Generate reports, dashboards, and insights
• Use your reports for internal business purposes

3. What You're Not Allowed To Do

To keep the platform safe and fair for all users, you agree not to:

• Sell, rent, or sublicense access to MetaSculpt AI
• Try to reverse engineer or replicate our platform
• Use our crawlers on websites you don't have permission to crawl
• Use the Service to build a competing product
• Remove our branding or copyright notices
• Use MetaSculpt AI for anything illegal, harmful, or abusive

4. Your Subscription & Payments

4.1 Subscriptions

Access to MetaSculpt AI requires a paid subscription. Plans come with different limits, features, and usage allowances.

4.2 Billing

Payments are processed through LemonSqueezy. We do not store your full payment details. Subscriptions renew automatically unless canceled.

4.3 Pricing Flexibility

Because our platform relies heavily on cloud compute (AWS EC2, S3, background jobs), we reserve the right to increase or decrease pricing as needed to cover infrastructure costs. If prices change, we'll notify you ahead of time. Your continued use means you accept the new pricing.

4.4 Refunds

Refunds follow our posted refund policy.

5. Term & Termination

5.1 Term

This Agreement stays active as long as you have a current subscription.

5.2 Ending Your Subscription

You may cancel anytime through your account settings. Your subscription remains active until the end of the billing period.

5.3 We Can End Access If Needed

We may suspend or terminate your account if:

• You violate this Agreement
• You misuse the platform
• You fail to pay for your subscription

5.4 Data After Termination

After your subscription ends, we may delete your stored data after 30 days.

6. Who Owns What

6.1 Our Ownership

MetaSculpt AI owns:

• The platform
• All underlying technology
• Analytics systems, crawlers, models, and code
• Dashboard designs and UI

Nothing in this Agreement transfers ownership.

6.2 Your Ownership

You own:

• Your website content
• Your prompts and queries
• Any data you upload
• Your analysis results and reports

We may use anonymized, aggregated data to improve the Service.

7. Confidentiality

Both sides agree to protect each other's confidential information and not share it with others. We'll treat your data with reasonable care and security.

8. Warranty & What We Don't Guarantee

We promise MetaSculpt will generally work as described.

However, we cannot guarantee:

• Perfect accuracy of AI citations or crawled data
• 24/7 uptime with no interruptions
• Future features
• That insights will produce any specific business outcome

The Service is provided "as-is" and may change over time.

9. Limitation of Liability

To the fullest extent allowed by law:

• We are not liable for indirect, incidental, or consequential damages
• We are not responsible for business decisions you make using reports
• Our total liability for any claim is limited to the amount you paid in the past 12 months

If you are unhappy with the platform, your remedy is to stop using it.

10. General Terms

• This Agreement is the entire understanding between you and us.
• If any part of this Agreement is invalid, the rest remains in effect.
• This Agreement is governed by the laws of the State of Arizona.
